TERMS OF USE

Welcome to FootDiary, an India-based football-focused journaling and social platform that allows football fans to record, organise and share their match experiences. Through the Platform, you may create match journals, maintain a personal record of matches you have watched, record ratings, notes and memories, upload photographs, videos and match tickets, record stadium visits and football-related travel experiences, and share your experiences with followers, friends or selected users. The Platform may also enable you to follow other users, participate in football-related social features, use the “Hate Watch” feature, earn Points, participate in Personal Leagues and compete on global Leaderboards.

These Terms and Conditions govern your use of the FootDiary application, website and the services and features made available through the Platform. By accessing, registering for, or using the Platform, you agree to be bound by these Terms and Conditions. Please read these Terms and Conditions carefully before using the Platform.

This Agreement is an electronic record under the Information Technology Act, 2000 (as may be amended, modified, re-enacted, consolidated or replaced from time to time) and any/all rules made thereunder, including but not limited to those prescribed under different statutes pertaining to electronic records as applicable and amended from time to time.

These Terms are available in English. If translated into other languages, the English version shall prevail in case of discrepancies.

1. DEFINITIONS

For the purposes of these Terms, unless the context otherwise requires:

1.1 “Account” means the account created by a User to access and use the Platform.

1.2 “Content” means any information, material or content made available through the Platform, including Football Information, User Content, text, photographs, images, graphics, match information, statistics, scores, fixtures, results, rankings, profiles and other materials.

1.3 “Diary” means the personalised football diary maintained by a User on the Platform, including the User’s record of matches watched, recorded or otherwise added by the User.

1.4 “Football Information” means football-related information made available through the Platform, including fixtures, match schedules, scores, results, player information, team information, league tables, statistics, rankings and other football-related data.

1.5 “Hate Watch” means the Platform feature that allows a User to designate or select one or more football teams that the User does not support or has a sporting rivalry with, for the purpose of following, tracking or engaging with matches and activities relating to such team(s) and earning Points or participating in other gamification features associated with such activity. The term “Hate Watch” is used solely as a commonly understood expression in football fandom and sporting culture and is not intended to promote or encourage hatred, hostility, discrimination, harassment, violence or any other harmful or unlawful conduct.

1.6 “Leaderboard” means any ranking, table or other mechanism through which Users may be ranked or compared based on Points or other metrics determined by the Platform.

1.7 “Personal League” means a league or competition created, joined or participated in by Users for the purpose of comparing their Points, rankings or other activity on the Platform.

1.8 “Platform” means the FootDiary mobile application, website and all related services, features, functionality, software and interfaces made available by or on behalf of the Company.

1.9 “Points” means the non-monetary points, scores, rankings, badges or other indicators awarded to Users under the Platform’s gamification features.

1.10 “User” means any individual who accesses, registers for or uses the Platform.

1.11 “User Content” means any content, information, material or communication submitted, uploaded, posted, published, shared or otherwise made available by a User through the Platform.

2. ELIGIBILITY

2.1 You may use the Platform only if you are legally capable of entering into a binding contract under applicable law.

2.2 If the Platform permits individuals below the age of majority to use the Platform, such use shall be subject to any consent, supervision or other requirements prescribed under applicable law.

2.3 By creating an Account, you represent that:

(a) the information provided by you is accurate and complete;

(b) you have the legal capacity to agree to these Terms; and

2.4 We reserve the right to restrict access to the Platform where we reasonably believe that a User does not satisfy the applicable eligibility requirements.

3. ACCOUNT REGISTRATION

3.1 Mandatory Account: An Account is required to access and use the principal features of the Platform.

3.2 Registration Information: You agree to provide accurate, complete and current information when creating your Account and to update such information where necessary.

3.3 Account Security: You are responsible for maintaining the confidentiality and security of your Account credentials and for all activity carried out through your Account.

3.4 Unauthorised Access: You must promptly notify us if you become aware of any unauthorised access to or use of your Account.

3.5 Prohibited Account Conduct: You must not:

(a) create an Account using false, misleading or fraudulent information;

(b) impersonate another person or entity;

(d) use another User’s Account;

(e) create multiple Accounts for the purpose of manipulating Points, rankings, Personal Leagues or other Platform features; or

(f) sell, transfer, assign, rent or otherwise provide access to your Account to another person.

4. NATURE AND PURPOSE OF FOOTDIARY

4.1 FootDiary is a football-focused social diary and gamification platform that allows Users to record and maintain a personal history of football matches they have watched and engage with other Users through football-related social and competitive features.

4.2 The Platform may allow Users to:

(a) record matches they have watched in their Diary;

(b) view and maintain their football-watching history;

(d) maintain and make available a public profile;

(e) follow other Users;

(f) participate in the Hate Watch feature;

(g) earn Points through eligible Platform activity;

(h) create, join or participate in Personal Leagues;

(i) compare their performance with other Users through Leaderboards; and

(j) access Football Information and other football-related features made available through the Platform.

4.3 The features and functionality available through the Platform may vary from time to time and may be modified, expanded, restricted or discontinued in accordance with these Terms and applicable law.

5. YOUR DIARY

5.1 The Platform allows Users to maintain a personalised Diary recording football matches they have watched or chosen to record.

5.2 The information associated with a Diary may include the match, teams involved, competition, date, result and other information made available by the Platform.

5.3 The Company does not represent or warrant that every entry in a User’s Diary will be accurate, complete or automatically recorded.

5.4 Users are responsible for reviewing and maintaining the accuracy of information they add or submit to their Diary.

5.5 The Diary is intended as a personal record and social football activity feature and should not be treated as an official record of attendance or viewing of any sporting event.

6. USER PROFILES

6.1 The Platform may provide each User with a profile containing information and activity associated with that User.

6.2 Depending on the features and settings made available by the Platform, a User may be able to maintain a public profile displaying certain information relating to the User’s football activity.

6.3 Where you choose to make information public, you acknowledge that such information may be viewed and accessed by other Users and, depending on the functionality of the Platform, persons who are not registered Users.

6.4 You are responsible for ensuring that information displayed on your profile is accurate and does not violate applicable law or the rights of any third party.

7. FOLLOWERS AND SOCIAL SHARING

7.1 The Platform may allow Users to follow other Users and view updates, Diary activity or other information shared by those Users.

7.2 Users may share eligible Diary updates or other football-related activity with their followers in accordance with the sharing and visibility features made available through the Platform.

7.3 Where the Platform permits public sharing, you acknowledge that such information may be accessible to persons beyond your followers.

7.4 You are responsible for the information you choose to share through the Platform and must ensure that such information complies with these Terms and applicable law.

7.5 The Company does not control or endorse the statements, opinions or conduct of Users merely because such content appears on a User profile, in a Diary or through a follower feed.

8. HATE WATCH

8.1 The Platform may provide a feature known as “Hate Watch”, which is a commonly used term in football and sporting culture to describe following, tracking or watching a team that a fan does not support or has a sporting rivalry with.

8.2 The use of the term “Hate Watch” on the Platform is intended solely in the context of football fandom, sporting rivalry, banter and entertainment. The term is not intended to promote, encourage or endorse hatred, hostility, discrimination, harassment, violence or any other harmful or unlawful conduct towards any football club, team, player, supporter, group or individual.

8.3 A User’s participation in Hate Watch does not create any affiliation between the User and the relevant team and does not represent the views of the Company or any football club, league, player or governing body.

8.4 The Company may modify the operation, availability or scoring associated with Hate Watch from time to time.

9. POINTS AND GAMIFICATION

9.1 The Platform may award Points to Users based on activities undertaken through the Platform, including activities associated with the Hate Watch, Personal Leagues or other gamification features.

9.2 The specific methodology used to calculate, award or adjust Points may be determined by the Company and may be changed from time to time.

9.3 No Monetary Value: Points are solely a mechanism for measuring participation, activity or performance on the Platform. Points:

(a) do not constitute money or currency;

(b) have no cash or monetary value;

(d) cannot be sold, purchased, transferred or assigned;

(e) cannot be redeemed for money or any financial benefit; and

(f) do not constitute any ownership, property or financial interest.

9.4 No Guaranteed Points: The Company does not guarantee that a User will receive Points for any particular activity or that a particular activity will result in a specific number of Points.

9.5 Adjustment or Cancellation of Points We may modify, reverse, cancel or remove Points where we reasonably determine that Points:

(a) were awarded due to an error;

(b) were obtained through manipulation, fraud or abuse;

(d) resulted from inaccurate or subsequently corrected Football Information; or

(e) were otherwise obtained in violation of these Terms.

9.6 No Transfer: Points associated with one Account may not be transferred to another Account.

10. PERSONAL LEAGUES

10.1 The Platform may allow Users to create, join or participate in Personal Leagues.

10.2 Personal Leagues may allow participating Users to compare their Points, rankings or other Platform activity.

10.3 The rules, duration, eligibility requirements and scoring methodology applicable to a Personal League may be determined by the Platform or by the relevant league creator, subject to the functionality made available by the Company.

10.4 The Company does not guarantee that a Personal League will remain available for any particular period.

10.5 The Company may suspend, modify, terminate or reset a Personal League where reasonably necessary, including in cases involving technical errors, abuse, manipulation or violation of these Terms.

11. GLOBAL LEADERBOARDS AND COMPETITION

11.1 The Platform may provide global Leaderboards through which Users can compare their Points or performance with other Users.

11.2 A User’s position on a Leaderboard may change based on:

(a) Points earned by the User;

(b) Points earned by other Users;

(d) changes to scoring methodology; or

(e) other factors relevant to the operation of the Platform.

11.3 The Company does not guarantee any particular ranking, position or outcome.

11.4 Users must not attempt to artificially inflate their rankings or Points through fraudulent, automated, coordinated or otherwise abusive activity.

11.5 The Company may remove, adjust or disregard activity that it reasonably determines to have been generated through manipulation or misuse.

12. NO GAMBLING, BETTING OR MONETARY REWARDS

12.1 FootDiary is intended to provide social, entertainment and gamification features.

12.2 The Platform does not permit Users to wager money or anything of monetary value on football matches, players, teams, Points, Personal Leagues or Leaderboards.

12.3 Points, rankings, badges and Leaderboard positions have no monetary value and cannot be converted into money or other financial benefits.

12.4 Users must not use the Platform to facilitate, promote or organise betting, wagering, gambling or other unlawful monetary activities.

12.5 Nothing in these Terms should be interpreted as creating a betting, gambling, investment or financial product.

13. USER CONTENT

13.1 The Platform may allow Users to create, upload, publish, post, submit or share User Content.

13.2 User Content may include:

(a) Diary entries;

(b) match updates;

(d) opinions;

(e) photographs and images;

(f) profile information;

(g) football-related posts; and

(h) other information made available through Platform features.

13.3 You remain responsible for the User Content that you submit or make available through the Platform.

13.4 You represent and warrant that:

(a) you own or otherwise have the necessary rights and permissions to submit the User Content;

(b) your User Content does not infringe the rights of any third party;

(d) your User Content complies with these Terms.

14. USER CONTENT STANDARDS

14.1 You must not upload, publish, transmit, share or otherwise make available any User Content that:

(a) is unlawful, fraudulent or materially misleading;

(b) infringes copyright, trademark, privacy, publicity or other rights of another person;

(d) threatens, harasses, intimidates or abuses another person;

(e) promotes violence or unlawful activity;

(f) contains hateful or discriminatory material;

(g) is sexually explicit or otherwise inappropriate for the Platform;

(h) is harmful to children;

(i) contains malware, viruses or other harmful code;

(j) impersonates another person or entity;

(k) promotes gambling, betting or wagering;

(l) artificially manipulates Points, rankings or engagement;

(m) contains another person’s personal information without an appropriate lawful basis or permission;

(n) is spam or unsolicited commercial communication; or

(o) otherwise violates applicable law or these Terms.

15. LICENCE TO USER CONTENT

15.1 By submitting or making User Content available through the Platform, you grant the Company a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, transmit, distribute and otherwise use such User Content to the extent reasonably necessary to operate, provide, maintain, secure, improve and promote the Platform and its features.

15.2 The licence granted under Clause 15.1 shall continue for as long as reasonably necessary for the purposes for which the User Content was submitted and thereafter only to the extent required for legitimate business, legal, security or compliance purposes.

15.3 Except for the rights expressly granted under these Terms, you retain ownership of your User Content.

15.4 Where you make User Content publicly available, you acknowledge that other Users may be able to view, access, share or otherwise interact with that Content through the Platform.

16. CONTENT MODERATION AND REPORTING

16.1 We may review, moderate, restrict, remove or disable access to User Content where we reasonably believe that such action is necessary to:

(a) comply with applicable law;

(b) enforce these Terms;

(d) protect the security or integrity of the Platform;

(e) address complaints or reports; or

(f) prevent fraud, manipulation, abuse or other misuse.

16.2 We may also take action against an Account associated with prohibited User Content or conduct.

16.3 Users may report Content, Accounts or conduct that they reasonably believe violates these Terms or applicable law through the reporting or grievance mechanism made available by the Platform.

16.4 The Company does not guarantee that every report will result in removal of the reported Content. Reports will be assessed in accordance with applicable law, these Terms and our applicable policies.

17. INTELLECTUAL PROPERTY

17.1 All intellectual property rights in and to the Platform, including its software, code, design, interface, graphics, compilation, functionality, branding, logos and Company-owned Content, are owned by or licensed to the Company.

17.2 Subject to your compliance with these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Platform for its intended purposes.

17.3 You must not, except as expressly permitted under these Terms or applicable law:

(a) reproduce or copy the Platform;

(b) modify or create derivative works;

(d) commercially exploit the Platform;

(e) scrape, crawl or systematically extract Platform data;

(f) remove proprietary notices; or

(g) use the Company’s trademarks, branding or logos without prior written permission.

17.4 Football club names, logos, player names, league names, competition names, trademarks and other third-party intellectual property displayed through the Platform may belong to their respective owners.

17.5 Unless expressly stated otherwise, the Company does not claim ownership of third-party intellectual property merely because such material is displayed through the Platform.

17.6 Nothing in these Terms grants you any rights in third-party intellectual property.

18. FOOTBALL INFORMATION AND THIRD-PARTY DATA

18.1 The Platform may display Football Information obtained from third-party data providers, football leagues, clubs, sporting organisations, publicly available sources or other third parties.

18.2 Football Information may include match fixtures, scores, results, team information, player information, statistics, rankings and other data.

18.3 We endeavour to provide useful and reasonably accurate Football Information but do not guarantee that such information will always be:

(a) accurate;

(b) complete;

(d) available in real time; or

(e) free from errors, omissions or delays.

18.4 Football Information may change after publication due to corrections, updates or changes made by the relevant league, club, governing body, data provider or other source.

18.5 The Platform is not intended to replace official sources of football information.

18.6 Where accuracy or timeliness is important, Users should independently verify information through relevant official or authoritative sources.

18.7 Football Information is provided for general informational, social and entertainment purposes only.

19. THIRD-PARTY SERVICES AND LINKS

19.1 The Platform may contain links to or integrations with third-party websites, applications, services, data providers or other resources.

19.2 Third-party services may be governed by separate terms and privacy policies.

19.3 The Company does not control and is not responsible for third-party services, including their availability, security, accuracy, content, policies or practices.

19.4 A link to or integration with a third-party service does not constitute an endorsement, sponsorship or affiliation unless expressly stated otherwise.

20. ACCEPTABLE USE

20.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

(a) use the Platform for any unlawful, fraudulent or unauthorised purpose;

(b) interfere with or disrupt the Platform;

(d) introduce viruses, malware, malicious code or other harmful material;

(e) use bots, scripts, automated tools or other mechanisms to artificially generate activity;

(f) manipulate Points, Leaderboards or Personal Leagues;

(g) create multiple Accounts to manipulate Points, rankings or other Platform features;

(h) scrape, crawl or systematically extract information from the Platform without written permission;

(i) attempt to circumvent security or access-control measures;

(j) impersonate another person or entity;

(k) harass, threaten, abuse or intimidate other Users;

(l) use the Platform to promote betting, gambling or wagering;

(m) use the Platform to infringe the rights of another person;

(n) upload or distribute malicious or harmful material; or

(o) otherwise misuse the Platform.

21. FREE ACCESS AND NO PAID FEATURES

21.1 The Platform is currently made available to Users without a subscription or usage fee for the features offered at the time these Terms are published.

21.2 No User is required to purchase Points, Leaderboard positions, Hate Watch activity or Personal League participation.

21.3 Points and other gamification features cannot be purchased for money and cannot be exchanged for money or monetary benefits.

21.4 The Company reserves the right to introduce additional features or services in the future, including paid features, subject to appropriate notice and applicable terms.

22. PLATFORM AVAILABILITY

22.1 We will use reasonable efforts to maintain the Platform and make it available to Users.

22.2 However, we do not guarantee that the Platform will always be:

(a) available;

(b) uninterrupted;

(d) error-free; or

(e) compatible with every device or operating system.

22.3 The Platform may be temporarily unavailable due to maintenance, upgrades, technical failures, network or connectivity issues, third-party service failures, cybersecurity incidents, changes required for legal or regulatory compliance, or circumstances beyond our reasonable control.

23. PRIVACY

23.1 Our collection, use, storage, disclosure and other processing of personal data in connection with the Platform is governed by our Privacy Policy.

23.2 The Privacy Policy forms an integral part of these Terms.

23.3 You should review the Privacy Policy before creating an Account and using the Platform.

23.4 Your use of social features, including public profiles, followers and sharing, may involve information being made visible to other Users in accordance with the applicable Platform settings and the Privacy Policy.

24. ACCOUNT DELETION

24.1 You may request deletion of your Account through the account deletion functionality provided within the Platform or by contacting us through the contact details specified in these Terms.

24.2 Upon deletion of your Account, your access to the Platform and associated features will cease, subject to any information that we are required or permitted to retain under applicable law.

24.3 Deletion of your Account may result in the loss of your Diary, Points, rankings, Personal League participation, followers and other Account-associated information, subject to applicable law and our Privacy Policy.

24.4 Content that you have made public or that has been incorporated into the Platform in accordance with these Terms may remain visible for a limited period or in a limited form where reasonably necessary for legal, security, technical or operational purposes, subject to applicable law.

25. DISCLAIMER

25.1 To the maximum extent permitted by applicable law, the Platform and its Content are provided on an “as is” and “as available” basis.

25.2 We do not warrant or guarantee that:

(a) the Platform will meet your individual requirements;

(b) Football Information will always be accurate, complete or current;

(d) Points or rankings will always be calculated without technical errors;

(e) the Platform will always be uninterrupted or error-free;

(f) User Content will always be accurate or reliable; or

(g) all defects will be corrected immediately.

25.3 Nothing in these Terms excludes or limits any warranty, right or remedy that cannot lawfully be excluded or limited under applicable law.

26. USER INTERACTIONS AND THIRD-PARTY CONDUCT

26.1 The Platform enables Users to interact with one another through profiles, followers, shared updates, Personal Leagues and other features.

26.2 The Company does not guarantee the identity, accuracy, reliability, conduct or intentions of any User.

26.3 Users should exercise appropriate caution when interacting with other Users and should not disclose personal information unnecessarily.

26.4 The Company may take action against Users who engage in conduct that violates these Terms or applicable law.

26.5 The Company is not responsible for disputes between Users except to the extent required by applicable law or where the Company is otherwise legally responsible.

27. LIMITATION OF LIABILITY

27.1 To the maximum extent permitted by applicable law, the Company and its directors, officers, employees, affiliates, licensors and service providers shall not be liable for any indirect, incidental, special, consequential or punitive loss or damage arising out of or relating to your access to or use of, or inability to use, the Platform.

27.2 This includes, without limitation, losses arising from:

(a) inaccuracies, delays or omissions in Football Information;

(b) changes to Points, rankings or Leaderboards;

(d) loss or unavailability of Diary information;

(e) User Content;

(f) interactions between Users;

(g) third-party services or data;

(h) interruption of the Platform; or

(i) unauthorised access resulting from circumstances beyond our reasonable control.

27.3 Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited under applicable law.

28. INDEMNIFICATION

28.1 To the extent permitted by applicable law, you agree to indemnify and hold harmless the Company, its affiliates, directors, officers, employees, contractors, licensors and service providers against claims, liabilities, losses, damages, costs and expenses arising out of or relating to:

(a) your breach of these Terms;

(b) your misuse of the Platform;

(d) your violation of applicable law;

(e) your infringement of the rights of another person; or

(f) fraudulent, abusive or unauthorised activity carried out through your Account.

29. SUSPENSION AND TERMINATION

29.1 Termination by User: You may stop using the Platform at any time and may request deletion of your Account in accordance with Clause 24.

29.2 Suspension or Termination by Company: We may suspend, restrict or terminate your Account or access to all or part of the Platform where we reasonably believe that:

(a) you have breached these Terms;

(b) you have violated applicable law;

(d) you have manipulated Points, Personal Leagues or Leaderboards;

(e) your conduct creates a risk to other Users or the Platform;

(f) suspension or termination is required by law or a lawful governmental direction; or

(g) the relevant Platform or feature is discontinued.

29.3 Immediate Action: Where reasonably necessary to protect the Platform, Users or third parties, we may take action without prior notice.

29.4 Effect of Termination: Following termination:

(a) your right to access the Platform will cease;

(b) you may lose access to your Diary, Points, rankings and Personal Leagues; and

30. MODIFICATION OR DISCONTINUATION OF THE PLATFORM

30.1 We may modify, suspend or discontinue any feature of the Platform, including:

(a) the Diary;

(b) Hate Watch;

(d) Personal Leagues;

(e) global Leaderboards;

(f) follower functionality;

(g) public profiles; or

(h) Football Information and related features.

30.2 We may make such changes for operational, technical, commercial, security, legal or regulatory reasons.

30.3 Where reasonably practicable and where the change is material, we will provide Users with appropriate notice.

31. CHANGES TO THESE TERMS

31.1 We may amend these Terms from time to time to reflect changes in the Platform, applicable law, technology, business practices or our services and features.

31.2 Where changes are material, we will take reasonable steps to notify Users through the Platform or other appropriate means.

31.3 The updated Terms will specify the applicable effective date.

31.4 Your continued use of the Platform following the effective date of the updated Terms will constitute your acceptance of the revised Terms, to the extent permitted by applicable law.

32. GRIEVANCE REDRESSAL

32.1 If you have any complaint, concern or grievance regarding:

(a) the Platform;

(b) User Content;

(d) these Terms; or

(e) any other matter relating to the Platform,

We will handle grievances in accordance with applicable law and our applicable grievance-redressal procedures.

33. GOVERNING LAW

33.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to principles relating to conflict of laws.

34. JURISDICTION

34.1 Subject to applicable law, the courts at Delhi, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or your access to or use of the Platform.

35. ENTIRE AGREEMENT

35.1 These Terms, together with the Privacy Policy and any other policies expressly incorporated into these Terms, constitute the entire agreement between you and the Company concerning your access to and use of the Platform and supersede any prior or contemporaneous understandings, communications or agreements relating to the same subject matter, except to the extent otherwise required by applicable law.

36. SEVERABILITY

36.1 If any provision of these Terms is determined by a court or competent authority to be invalid, unlawful or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, to the extent permitted by applicable law.

36.2 If such modification is not possible, the relevant provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

37. WAIVER

37.1 No failure or delay by the Company in exercising any right, power or remedy under these Terms shall constitute a waiver of that right, power or remedy.

37.2 Any waiver by the Company of any provision of these Terms shall be effective only if expressly made in writing and shall not constitute a waiver of any subsequent breach or of any other provision.

38. ASSIGNMENT

38.1 You may not assign, transfer, delegate or otherwise dispose of any of your rights or obligations under these Terms without the prior written consent of the Company.

38.2 The Company may assign, transfer or otherwise dispose of its rights or obligations under these Terms in connection with a merger, acquisition, corporate restructuring, sale of assets, change in control or transfer of the Platform, subject to applicable law.

39. NO PARTNERSHIP OR AGENCY

39.1 Nothing contained in these Terms shall be construed as creating or establishing any partnership, joint venture, employment, agency, fiduciary or other similar relationship between you and the Company.

39.2 You shall not have any authority to represent, bind or create any obligation on behalf of the Company.

40. FORCE MAJEURE

40.1 The Company shall not be liable for any failure, delay, interruption or inability to perform its obligations under these Terms to the extent such failure or delay results from circumstances beyond its reasonable control.

40.2 Such circumstances may include, without limitation, natural disasters, acts of God, war, terrorism, civil unrest, governmental actions, changes in law, telecommunications or internet failures, power failures, cybersecurity incidents, infrastructure failures, strikes, labour disputes, epidemics, pandemics, failures of third-party service providers or other events beyond the Company's reasonable control.

41. APP STORE TERMS

41.1 Where you access or download the Platform through a third-party application store or distribution platform, including the Apple App Store or Google Play Store, your use of such store may also be subject to the applicable terms, conditions and policies of that third party.

41.2 These Terms govern your relationship with the Company in relation to your use of the Platform and do not replace or supersede any applicable third-party application-store terms.

43. USER ACKNOWLEDGEMENT AND ACCEPTANCE

43.1 By creating an Account, accessing or using FootDiary, you acknowledge and agree that:

you have read and understood these Terms;
you agree to be legally bound by these Terms;
you have reviewed the Privacy Policy;
FootDiary allows you to maintain a personal record of football matches you have watched;
you may be able to share your football activity with followers or publicly, depending on the features and settings available to you;
you may interact with other Users through profiles, followers, Personal Leagues and other social features;
Hate Watch is a sporting and entertainment feature and does not permit or encourage harassment, threats, violence or unlawful conduct;
Points, rankings, badges and Leaderboard positions have no monetary value;
Points and rankings may be adjusted where necessary to address errors, manipulation, fraud or other misuse;
Personal Leagues and global Leaderboards are intended for social and entertainment-oriented competition;
the Platform does not facilitate betting, gambling or wagering;
Football Information may contain inaccuracies, omissions or delays; and
you are responsible for your use of the Platform and the User Content you choose to submit or share.
